PokeTalk, a subsidiary of Parrot-Media Ltd, provides services which are currently available as a beta version only. "Beta version" means, among other things that the services are still undergoing testing and debugging. Therefore we specifically represent that we cannot guarantee that our services will function properly and continuously and will not be disrupted, cause damage or are free of bugs. You hereby acknowledge and agree to use our service at your own discretion and risk, in addition to being subject to the terms of use and privacy policy herein. In addition, you understand and accept that being a 'beta version' does not entitle you to any preferred customer rights, or any other rights not specifically granted and/or stated in the terms of use.

We hope you will enjoy our services (the "Services") which can be found at our website www.poketalk.com, but before we can start there are terms and conditions you need to review and approve. By setting up an account on www.poketalk.com, herein referred to as (the “Website”), you agree to the following terms, including the terms available by hyperlink in the Privacy Policy (the "Viewer Terms of Use") with Poketalk Ltd and Parrot-Media Ltd.

Services and Viewer Rights, Obligations and Representation
You hereby represent and warrant that you have all right, power and authority to enter into these Viewer Terms of Use and to fully perform your obligations hereunder. Subject to setting up an account at poketalk.com, PokeTalk will provide you with the ability to place phone calls, and communicate internationally from your own phone for free (please note we cannot control or be liable for roaming or carrier charges). You agree to provide, true, accurate, current, and complete information in all fields indicated as mandatory when registering for the Service, as well as any additional information provided at a later stage after registration. As part of the sign up you may be asked for age, gender, occupation, and your phone numbers in order to use the service, and these must be complied with according to the above mentioned.You may not use the Service for any unlawful purpose, and you are responsible for and will hold PokeTalk harmless against the consequences of unlawful use or any slander, libel or other actionable content in any message. The liability of PokeTalk, or any of its employees, agents or cooperating service provider(s), arising from any misdelivery, non-delivery or any other errors or omissions in the provision of such services is limited to an amount equal to the charge for any such service(s).Please note that roaming and incoming call costs are not covered by PokeTalk.You agree not to hold PokeTalk responsible for your misunderstanding of the Services, or its terms. You may not charge others to use the Services either directly or indirectly without the express written agreement of PokeTalk.Your continued use of the Services shall constitute your acceptance to be bound by the terms and conditions of this Viewer Terms of Use, including the terms available by hyperlink in the Privacy Policy.You expressly agree and understand that the Services (which can be found at www.poketalk.com) are not intended to support or carry emergency calls to any type of hospital, law enforcement agency, medical care unit or any other kind of emergency service and you recognize and agree that PokeTalk is not required to offer emergency services pursuant to any applicable local and or national rules, regulation or law. You further recognize that PokeTalk.com is not a replacement for your primary telephone service. By agreeing to these Viewer Terms of Use you understand that additional arrangements must be made to access emergency services and you acknowledge and accept your responsibility to purchase, separately from the Services, traditional wireless or PSTN telephone service that offers access to emergency services. PokeTalk, and its service www.poketalk.com, or the Officers are in no way liable for such emergency calls. Neither PokeTalk nor the Officers may be held liable for any claim, damage, or loss, and you hereby waive any and all such claims or causes of action, arising from or relating to the use of the Services to contact emergency services personnel.You hereby acknowledge and agree that the Services provided hereunder may be disturbed or may not be available at all times or in all areas, due to various reasons including, but not limited to, outdated Viewer's device and/or numerous bandwidth problems and/or third-party operator disturbances, etc.

Rights and Undertakings
PokeTalk will attempt to provide such services as described in its marketing materials, but does not warrant such services to be error free or fit for any particular purpose. The Services are subject to limited availability. PokeTalk reserves the right to refuse accounts or limit its services at www.poketalk.com.If PokeTalk suspects fraudulent, abusive or illegal use of your account and/or the Services, PokeTalk may at its own discretion, among other things, suspend, restrict or terminate your account/the Services without notice.PokeTalk reserves the right to deactivate your account without further notice to you.PokeTalk reserves the right to modify, change, and amend these terms and conditions. Any changes, and or modifications go into immediate effect and will be made available online at www.poketalk.com . PokeTalk cannot guarantee that you will always be able to communicate, nor can PokeTalk guarantee that you can communicate without disruptions, delays or other communication-related flaws at PokeTalk. PokeTalk will not be liable for any such disruptions, delays or other omissions in any communication experienced when using the Services.PokeTalk and its service www.poketalk.com do not support emergency calls whether they be intended for emergency, law enforcement, hospital services, or any other type of emergency service. PokeTalk shall not be liable for any calls in such a manner. In the event that, with your permission, another user uses your Account (as defined in the following), you are responsible to inform that user that it is not possible to support or carry emergency calls with PokeTalk’s service.PokeTalk may, but is not required to, provide you with customer support ("Support"). Unless you have entered into a separate written support agreement with PokeTalk with respect to the Services, PokeTalk may terminate any support it provides at any time in its sole discretion. Authorized third-party software that uses the Services is not supported by PokeTalk and you should contact the provider of such software for support, if any.

Intellectual Property Rights
You acknowledge that all services and manners, in which these services are provided, including advertising mechanisms, are confidential and valuable assets of PokeTalk. The Services and the content on the PokeTalk Website (www.poketalk.com), including without limitation, the text, software, scripts, graphics, photos, sounds, music, videos, interactive features and the like and the trademarks, service marks and logos contained therein (collectively the "Material"), are owned by or licensed to PokeTalk, and subject to copyright and other intellectual property rights under United States, foreign laws and international conventions. Except as provided herein, you are not granted, expressly or by implication, estoppels or otherwise, any license or right to use any of the Material or any other such proprietary information without the prior express written permission of PokeTalk.
